Terms and Conditions

Standard Competition Rules

1. This competition (the “competition”) is open to residents of the United Kingdom (“territory”) aged eighteen (18) and over except employees of Microsoft Limited (“Microsoft”), MyMovies.Net Ltd (“My Movies”), MRM Worldwide (“MRM”) and their respective subsidiaries, affiliates, advertising and promotion agencies and their immediate families (defined for the purpose of these rules as husband, wife, mother, father, sister, brother, son, daughter, or persons residing in the household of such employees), and anyone else professionally connected with this competition. The promoter reserves the right to verify the eligibility of entrants and check their identity.

2. Entrants will be deemed to have accepted these terms of services (“terms”) when they enter this competition as described in paragraph five (5) of these Terms.

How to Enter

3. The competition will start at 08:00 Greenwich Mean Time (“GMT”) on 16 April, 2007 and end at 18:00 GMT on 27 May, 2007 (the “competition period”). No entries received after the competition period will be eligible to win the prize.

4. No purchase is necessary to enter the competition. There is no limit on the number of entries which each entrant may submit during the competition period.

5. To be eligible to win the prize, entrants must submit a video featuring themselves, showcasing their film knowledge and presenting talent (of no more than one hundred megabytes (100mb) in size and in one of the following formats: AVI, ASF, WMV, MOV, MPEG (1, 2 or 4), 3GPP, DV, H.263, H.264) conforming to the entry guidelines described in paragraphs 10-14 (“entry”).

6. Please note that you must submit your own video and in the correct format as described in paragraph five. Entries which are submitted on behalf of third parties, or which are not in the correct format or of the correct length, may be disqualified.

7. Entries that are incomplete, defaced or damaged will be deemed invalid. No responsibility will be accepted for entries lost, delayed or damaged in transmission.

8. Entries maybe placed on the website located at http://www.lightscameraaudition.co.uk (the “website”) for a period of two months after the competition period. Visitors to the website will be given the chance to vote on the entries during such time as they are displayed on the website.

9. If any person is determined to have breached these terms they will be disqualified. In the event that a winner is disqualified the judging panel will select an alternative winner.

Entry Guidelines

10. You warrant and represent that your entry will be original to you and that you have the right to grant the consents and license the rights expressed to be granted in these terms, free from encumbrances and third party rights.

11. You warrant and represent that your entry will not be or contain material which is defamatory, libellous or slanderous, or which might embarrass someone or invade their privacy, or be vulgar, tasteless or obscene, racist, abusive, malicious or derogatory toward an individual or business entity.

12. Your entry must not depict violence or other illegal activity (including but not limited to assault, drug usage, images of child abuse or breaking and entering). Microsoft may notify the police if it receives such content.

13. Your entry must not prominently contain or feature advertising or promotional materials.

14. Your entry must not contain abundant gratuitous or coarse language.

Intellectual Property

15. By submitting your entry to us you hereby (i) grant to Microsoft a worldwide, fully paid-up, exclusive, royalty-free, sub-licensable and transferable license to use, reproduce, distribute, modify, prepare derivative work of, display and perform the entry you submit to us in connection with the competition and Microsoft’s business, including without limitation as described in these terms and for promoting and redistributing part or all of the competition in any media formats and through any media channels; and (ii) waive in perpetuity in respect of the entry the benefits of any provision of law known as moral rights or any similar law in any country. By entering the competition, you give permission for your audition to be shown on the competition website and rated by members of the public.

How to Win

16. Finalists will be chosen based on the highest number of votes received by an entry at the website at the end of the competition period. Finalists will then be interviewed by Microsoft and a winner chosen (the “winner”).

17. Microsoft’s decision is final and no correspondence will be entered into.

18. The name of the winner will be made available for two weeks after 1 August, 2007 to anyone who sends a stamped, self addressed envelope to Lights Camera Audition, Microsoft Limited, Building 3, Floor 3, Zone 4 Thames Valley Park, Reading RG6 1WG, UK.

Prize

19. The prize will consist of the winner being invited to present webcasts for MSN Movies for a week and filming for a duration of up to one (1) working day in a studio based in London. The winner will present up to one week's footage, or five (5) to six (6) webcasts. These webcasts which the winner films as part of the prize may be shown across several weeks. The winner will also be provided one (1) night’s accommodation in London approved by the competition organiser, if required. All travel expenses up to the value of one hundred and fifty pounds (£150) and incurred by the winner relating to the filming will be reimbursed on presentation of valid receipts.

20. Microsoft reserves the right not broadcast the winner’s webcasts if deemed unsuitable by the production and/or editorial team at MSN Movies.

21. No cash alternatives are available.

22. The winner will be notified by Microsoft after a formal interview process conducted by the production and/or editorial team at MSN Movies. The winner may be required to participate in publicity connected with this competition.

Privacy

23. The collection of personally identifiable information for the purposes of this competition will be subject to the privacy statement at http://privacy.microsoft.com/en-gb/default.aspx.Specifically, the data collected through this competition will be used to send an email to entrants to confirm whether the entrant has won the prize or not. All personally identifiable information will be deleted approximately six weeks after the winner is selected. By entering this competition, you expressly consent to the use of your personally identifiable information in accordance with the privacy statement.

General

24. If any provision or part of these terms is deemed void or otherwise unenforceable in law then that provision or part shall be deemed excluded and the remainder of these terms shall remain in force.

25.These terms, the conduct of this competition and the interpretation and enforcement of these terms and conditions shall be exclusively governed and construed in accordance with the laws of England, unless you are a Scottish resident, in which case you may choose the law of your own country of residence. Entrants irrevocably submit to the exclusive jurisdiction of the courts of England and Wales, unless they are a Scottish resident or a resident of Northern Ireland, in which case they may choose the courts of their place of residence.
